Large corporations often face litigation and government investigations that pose major risks and sometimes threaten the core of their business. Managing these cases require in-house lawyers to respond to demands from powerful government agencies, negotiate complex multi-party settlements, assemble and manage large teams of outside lawyers, and generally become crisis management experts. This panel will lead a discussion on high stakes litigation and investigations and explore the best practices for responding to the challenges they present.

The last few years have brought unprecedented uncertainty and volatility to international relations. As a result, the legal rules for most large international companies seem to change daily. Companies and their lawyers have had to react to the invasion of Ukraine, the implementation of Brexit, threatened trade wars, rapidly changing data protection rules, and varied moves to regulate online speech. The shifting landscape and resulting cross-border uncertainty have legal departments on high alert. This panel will lead a discussion of these and other issues arising from the new volatility in international relations.

Panel 3 - Corporate Purpose and Stakeholder Values

In 1970, Nobel economist Milton Friedman stated that the sole purpose of business was to “engage in activities that increase its profits,” and in 1997, the Business Roundtable declared that “the paramount duty of management and of boards of directors is to the corporation’s stockholders.” In recent years, however, there have been varied calls for a new focus. On August 18, 2019, the Business Roundtable changed course, issuing an updated statement of corporate purpose that “moves away from shareholder primacy, [and] includes commitment to all stakeholders.” This panel will lead a discussion on this emerging view of corporate purpose, and will focus particularly on how the board of directors, CEO and General Counsel must respond in this complex and rapidly changing environment.
